1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a binding agreement between you (“Merchant,” “you,” or “your”) and Starforest Inc. (“Starforest,” “we,” “us,” or “our”), located at 3449 Kenneth Drive, Palo Alto, CA 94303, governing your use of Revenue Agent by Starforest (“Revenue Agent” or the “App”).

By installing, accessing, or using Revenue Agent through the Shopify App Store, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

These Terms supplement and are in addition to the Shopify Terms of Service and the Shopify App Store Terms of Service. In the event of a conflict between these Terms and Shopify’s terms, Shopify’s terms shall govern with respect to your use of the Shopify platform.


2. Description of Service

Revenue Agent is an AI-powered revenue optimization application for Shopify merchants. The App:

  • Analyzes your store data (orders, customers, products, inventory, discounts) to identify revenue opportunities

  • Segments your customers using statistical models (RFM analysis, BG/NBD lifetime value, churn prediction)

  • Generates audit reports with actionable findings and recommendations

  • Monitors your store daily for changes in key metrics and emerging issues

  • Proposes actions such as customer tagging, pricing adjustments, and discount management

  • Executes merchant-approved actions on your Shopify store via the Shopify Admin API

  • Displays insights on customer and product pages via Shopify admin block extensions

The App operates as an embedded application within the Shopify admin interface.


3. Eligibility

To use Revenue Agent, you must:

  • Have an active Shopify store with a valid Shopify subscription

  • Have the authority to install applications on the Shopify store

  • Be at least 18 years of age or the age of majority in your jurisdiction

  • Comply with all applicable laws and regulations regarding the operation of your store and the use of customer data


4. Account and Access

4.1 Authentication

Revenue Agent uses Shopify’s built-in authentication. No separate account creation is required. Access to the App is managed through your Shopify admin credentials and is subject to Shopify’s authentication and access control systems.

4.2 Access Scopes

Upon installation, Revenue Agent requests access to specific Shopify API scopes necessary for the App’s functionality. These scopes are listed during installation and can be reviewed in your Shopify admin under Apps. You may revoke access at any time by uninstalling the App.

4.3 Security

You are responsible for maintaining the security of your Shopify account. You agree to notify us promptly at support@revenueagent.app if you become aware of any unauthorized access to your store data through the App.


5. Billing and Payments

5.1 Pricing Plans

5.2 Shopify Managed Billing

All charges for Revenue Agent are billed through Shopify’s billing system (Managed Pricing). By subscribing to a paid plan, you authorize Shopify to charge the applicable fees to your Shopify account. We do not collect payment information directly.

5.3 Billing Cycle

Paid plans are billed on a 30-day recurring cycle starting from the date of subscription. Charges appear on your Shopify invoice alongside your other Shopify charges.

5.4 Plan Changes

  • You may upgrade your plan at any time. The new plan takes effect immediately, and charges are prorated.

  • You may downgrade your plan at any time. The downgrade takes effect at the end of your current billing cycle.

  • You may cancel your subscription by uninstalling the App from your Shopify admin.

5.5 Refunds

Refund requests are handled through Shopify’s standard billing dispute process. Starforest will cooperate with Shopify in resolving any billing disputes in accordance with the Shopify App Store terms.

5.6 Price Changes

We may change our pricing with 30 days’ advance notice provided through the App or via the email address associated with your Shopify account. Continued use of the App after the price change takes effect constitutes acceptance of the new pricing.


6. Merchant Responsibilities

6.1 Data Accuracy

You are responsible for the accuracy and completeness of the data in your Shopify store. Revenue Agent’s analytics and recommendations are derived from your store data; inaccurate or incomplete data may result in inaccurate insights.

6.2 Customer Data Compliance

As the data controller for your customers’ personal data, you are responsible for:

  • Obtaining any necessary consents from your customers for data processing conducted through third-party applications, including Revenue Agent

  • Complying with applicable privacy laws (GDPR, CCPA/CPRA, PIPEDA, and others) in your jurisdiction

  • Responding to customer data access, deletion, and other privacy requests

  • Ensuring your use of Revenue Agent’s features (including automated actions) complies with applicable laws

6.3 Review of Automated Actions

You acknowledge that Revenue Agent may propose and, depending on your configured autonomy level, automatically execute certain actions on your store. You are responsible for:

  • Reviewing proposed actions before approving execution

  • Configuring appropriate guardrails and autonomy settings

  • Monitoring the effects of executed actions on your store

  • Reverting any actions that do not meet your expectations

6.4 Prohibited Uses

You agree not to:

  • Use the App for any purpose that violates applicable laws or regulations

  • Attempt to reverse engineer, decompile, disassemble, or derive the source code of the App

  • Circumvent or disable any security features, guardrails, or access controls of the App

  • Use the App to process data that you do not have the right to process

  • Resell, sublicense, or redistribute access to the App to third parties

  • Use the App in a manner that could damage, disable, overburden, or impair our servers or networks

  • Interfere with any other merchant’s use of the App

  • Misrepresent your identity or affiliation when using the App


7. Automated Actions and Merchant Control

7.1 Autonomy Levels

Revenue Agent provides three autonomy levels that you configure:

  • Manual / Observer — all actions require your explicit approval before execution

  • Supervised / Advisor — actions are proposed and await your approval

  • Autopilot — designated safe, reversible actions may execute automatically; you are notified and can undo any action

7.2 Guardrails

The App includes configurable safety guardrails that limit the scope of automated actions (e.g., maximum price change percentage, maximum discount depth). You are responsible for reviewing and configuring these guardrails to match your business requirements.

7.3 Reversibility

Most actions executed by Revenue Agent are designed to be reversible. The App provides a “Revert” function for executed actions. However, we cannot guarantee that reverting an action will restore your store to its exact prior state in all cases (for example, if a customer has already seen an updated price or been tagged in an external marketing flow).

7.4 Merchant Responsibility

You acknowledge and agree that:

  • You are ultimately responsible for all changes made to your Shopify store through Revenue Agent, whether manually approved or automatically executed

  • Revenue Agent’s recommendations are based on statistical analysis and AI-generated insights, which may not always be correct or appropriate for your specific business context

  • Starforest is not liable for business outcomes resulting from actions executed through the App


8. Intellectual Property

8.1 Starforest IP

Revenue Agent, including its software, algorithms, models, user interface, documentation, and all related intellectual property, is and remains the exclusive property of Starforest Inc. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose during the term of your subscription.

8.2 Merchant Data

You retain all ownership rights to your store data, including customer data, order data, product data, and any other data originating from your Shopify store. We do not claim ownership of your data.

8.3 Derived Analytics

Analytics, insights, and reports generated by Revenue Agent from your data are provided to you as part of the service. You may use these outputs for your business purposes. However, the underlying analytical methods, models, and algorithms used to generate these outputs remain Starforest’s intellectual property.

8.4 Feedback

If you provide feedback, suggestions, or ideas about the App (“Feedback”), you grant Starforest a non-exclusive, worldwide, royalty-free, irrevocable license to use, modify, and incorporate the Feedback into our products and services without any obligation to you.


9. Privacy and Data Protection

Our collection, use, storage, and sharing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments:

  • We act as a data processor on your behalf for customer data

  • We do not sell personal data

  • We do not use your data to train AI models

  • We do not use one merchant’s data to benefit another merchant

  • We delete all your data within 30 days of App uninstallation

  • We maintain encryption at rest and in transit for all stored data

10. Service Availability

10.1 Availability

We strive to maintain high availability of Revenue Agent but do not guarantee uninterrupted access. The App depends on the availability of Shopify’s platform, third-party AI service providers, and our own infrastructure.

10.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily affects App availability. Where possible, we will provide advance notice of planned maintenance through the App.

10.3 Service Modifications

We reserve the right to modify, update, or discontinue features of the App at any time. For material changes that reduce functionality:

  • We will provide 30 days’ advance notice where practicable

  • We will offer prorated refunds for prepaid periods if we discontinue the App entirely


11. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the maximum extent permitted by applicable law, Starforest disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

  • Warranties that the App will be uninterrupted, error-free, or secure

  • Warranties regarding the accuracy, completeness, or reliability of any analytics, recommendations, or predictions generated by the App

  • Warranties that the App will produce any particular business outcome, revenue increase, or cost savings

Revenue Agent’s analytics and recommendations are based on statistical models and AI-generated insights. They are tools to assist your business decisions, not guarantees of results.


12. Limitation of Liability

12.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STARFOREST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to:

  • Loss of profits, revenue, or business opportunities

  • Loss of data or data corruption

  • Business interruption

  • Loss of goodwill or reputation

  • Cost of procurement of substitute services

This applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Starforest has been advised of the possibility of such damages.

12.2 Cap on Liability

STARFOREST’S TOTAL CUMULATIVE LIABILITY arising out of or related to these Terms or the App shall not exceed the greater of:

  • The total fees you have paid to Starforest for the App during the 12 months immediately preceding the event giving rise to the claim, or

  • One hundred U.S. dollars ($100)

12.3 Exceptions

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence

  • Fraud or fraudulent misrepresentation

  • Any liability that cannot be excluded or limited by applicable law


13. Indemnification

13.1 Merchant Indemnification

You agree to indemnify, defend, and hold harmless Starforest and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in connection with:

  • Your use of the App in violation of these Terms

  • Your violation of applicable laws or regulations

  • Your breach of your obligations as a data controller

  • Any dispute between you and your customers relating to data processed through the App

  • Actions executed on your store through the App that you approved or configured for automatic execution

13.2 Starforest Indemnification

Starforest will indemnify, defend, and hold harmless you from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of:

  • Any claim that the App infringes a third party’s intellectual property rights

  • A data breach caused by Starforest’s failure to maintain the security measures described in our Privacy Policy


14. Termination

14.1 Termination by Merchant

You may terminate these Terms at any time by uninstalling Revenue Agent from your Shopify admin. Upon uninstallation:

  • Your access to the App ceases immediately

  • Billing for paid plans stops at the end of the current billing cycle

  • We will delete your data in accordance with our Privacy Policy (within 30 days of receiving Shopify’s shop/redact webhook)

14.2 Termination by Starforest

We may suspend or terminate your access to the App if:

  • You breach these Terms and fail to cure the breach within 15 days of written notice

  • You use the App in a manner that poses a security risk or may cause harm to other users

  • Your Shopify store subscription is terminated

  • We are required to do so by law

We will provide reasonable notice before termination where practicable, except in cases of security risk or legal requirement.

14.3 Effect of Termination

Upon termination for any reason:

  • All licenses granted under these Terms are immediately revoked

  • We will delete your data as described in our Privacy Policy

  • Sections 8 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Dispute Resolution) survive termination


15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@revenueagent.app and attempt to resolve the dispute informally for a period of at least 30 days.

15.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.

15.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Santa Clara County, California.

15.4 Class Action Waiver

You agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

15.5 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

15.6 Small Claims

Either party may bring a claim in small claims court in Santa Clara County, California, if the claim qualifies for small claims jurisdiction.


16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms presented at the time of subscription, constitute the entire agreement between you and Starforest regarding the App and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by Starforest.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. Starforest may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

16.5 Force Majeure

Starforest shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, or third-party service outages (including Shopify platform outages).

16.6 Notices

Notices to you will be provided through the App or to the email address associated with your Shopify account. Notices to Starforest should be sent to legal@revenueagent.app or to our physical address listed in Section 1.

16.7 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Your customers are not parties to these Terms and have no rights under them (customer rights regarding personal data are governed by applicable law and our Privacy Policy).

16.8 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.
